Terms of Service

Welcome to Groucho. These Terms of Service ("Terms") govern your access to and use of the Groucho mobile application and related services (collectively, the "Service") provided by Trampoline LLC ("Groucho," "we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Groucho is a social dining club service that matches individuals into small groups ("Groucho Clubs") based on personality, interests, and social compatibility. Members of each club meet regularly for dinner parties and social events coordinated through the Service.

The Service includes:

  • Voice-based interviews to understand your personality and preferences
  • Matching to place you in a compatible Groucho Club
  • Group messaging with your club members
  • Event scheduling and coordination
  • Reminders and notifications about upcoming gatherings

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law
  • Provide accurate and complete information during registration

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

4. Subscription and Payment

4.1 Subscription Fee

Participation in Groucho Club events requires a paid subscription. The current subscription fee is $21.99 per month. You do not pay anything until you are matched with a club — the interview and matching process are free.

What the subscription covers: The subscription fee pays for our real-world event coordination services, including:

  • Curation and assembly of your personalized Groucho Club
  • Coordination of twice-monthly dinner parties and social gatherings
  • Venue selection and reservation management
  • Event scheduling and agenda preparation
  • Customer support

What the subscription does not cover: The subscription fee does not cover the cost of food, drinks, or other personal expenses at events. You are responsible for your own expenses at gatherings.

App features: Access to certain Groucho app features — including group messaging with your club and viewing club member profiles — is provided free of charge once you are matched. The subscription fee is for our real-world event coordination and curation services, including access to your club's event schedule.

4.2 Billing

Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless cancelled. Payments are processed securely through Stripe, our third-party payment processor.

4.3 Cancellation

You may cancel your subscription at any time through the app. Upon cancellation:

  • You will retain access to the Service until the end of your current billing period
  • No refunds will be provided for partial months
  • You may reactivate your subscription before the end of the billing period

4.4 Price Changes

We reserve the right to modify subscription pricing. Any price changes will be communicated in advance and will apply to the next billing cycle after notice is given.

4.5 Failed Payments

If a payment fails, we will attempt to process it again and notify you. Continued payment failures may result in suspension of your access to the Service.

5. User Conduct

You agree to use the Service responsibly and in accordance with these guidelines:

5.1 Acceptable Use

  • Treat other members with respect and courtesy
  • Be genuine and honest in your interactions
  • Attend scheduled events when you've committed to them
  • Communicate proactively if you cannot attend an event
  • Contribute positively to your club's community

5.2 Prohibited Conduct

You may not:

  • Harass, intimidate, or threaten other members
  • Engage in discriminatory behavior based on race, gender, religion, sexual orientation, or other protected characteristics
  • Share inappropriate, offensive, or explicit content
  • Use the Service for commercial purposes or solicitation
  • Impersonate another person or misrepresent your identity
  • Share other members' personal information without consent
  • Attempt to circumvent security measures or access unauthorized areas
  • Use automated systems or bots to access the Service
  • Violate any applicable laws or regulations
  • Post, share, or request any content involving the sexual exploitation of minors (see Section 6: Groucho Child Safety Standards)

6. Groucho Child Safety Standards

Groucho is committed to the safety of all users and maintains a strict zero-tolerance policy for Child Sexual Abuse and Exploitation (CSAE). These Groucho Child Safety Standards apply to all users of the Groucho mobile application and related services.

6.1 Prohibited Content and Conduct

Groucho strictly prohibits the following content and conduct on our platform:

  • Child Sexual Abuse Material (CSAM) of any kind, including images, videos, text, or any other media depicting minors in sexual situations
  • Content that sexualizes, objectifies, or depicts minors in a sexual manner
  • Grooming behaviors, including any attempt to build trust with a minor for the purpose of sexual abuse or exploitation
  • Solicitation of minors for sexual purposes or inappropriate contact
  • Sharing, distributing, or requesting CSAM or links to such material
  • Any communication intended to facilitate the sexual exploitation of children
  • Sextortion involving minors
  • Trafficking of minors
  • Any other content or conduct that sexually exploits or endangers children

6.2 Age Requirement

Groucho is an adults-only service. You must be at least 18 years of age to use Groucho. We do not knowingly collect information from or allow registration by anyone under 18 years of age. If we discover that a user is under 18, we will immediately terminate their account and delete their data.

6.3 Reporting CSAE and CSAM

If you encounter any content or conduct that violates these Child Safety Standards, you must report it immediately using one of the following methods:

  • In-App Reporting: Long-press on any message or visit a member's profile and tap "Report Member"
  • Dedicated Child Safety Contact: Email childsafety@mygroucho.club
  • General Support: Email support@mygroucho.club with "URGENT: Child Safety" in the subject line

6.4 Our Response to CSAE Reports

Groucho takes all reports of CSAE extremely seriously. Upon receiving a report:

  • We will review the report immediately (within 24 hours at maximum)
  • The reported account will be suspended pending investigation
  • All confirmed CSAM will be reported to the National Center for Missing & Exploited Children (NCMEC) via their CyberTipline, as required by U.S. law (18 U.S.C. § 2258A)
  • We will cooperate fully with law enforcement investigations
  • Content will be preserved as required for legal proceedings
  • Accounts confirmed to have violated these standards will be permanently terminated

6.5 Legal Compliance

Groucho complies with all applicable child safety laws and regulations, including but not limited to:

  • The PROTECT Our Children Act (18 U.S.C. § 2258A) requiring reporting of apparent CSAM to NCMEC
  • The Children's Online Privacy Protection Act (COPPA)
  • State laws regarding mandatory reporting of child abuse
  • International laws regarding CSAE where applicable

6.6 Consequences for Violations

Any violation of these Groucho Child Safety Standards will result in:

  • Immediate and permanent account termination
  • Reporting to NCMEC and/or appropriate law enforcement agencies
  • Prohibition from creating new accounts
  • Potential civil and criminal liability under applicable laws

7. Content

6.1 Your Content

You retain ownership of content you create or share through the Service (messages, photos, profile information). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to provide the Service.

6.2 Content Guidelines

All content must comply with our acceptable use policies. We reserve the right to remove content that violates these Terms or is otherwise inappropriate.

6.3 Voice Interview Data

Your voice interview is processed to create a personality profile for matching purposes. By completing the interview, you consent to this processing as described in our Privacy Policy.

6.4 User-Generated Content Policy

Zero Tolerance for Objectionable Content. Groucho maintains a zero-tolerance policy for objectionable content. By using the Service, you agree not to post, share, or transmit any content that is:

  • Defamatory, obscene, pornographic, or sexually explicit
  • Violent, threatening, or promoting harm to oneself or others
  • Harassing, bullying, or intimidating
  • Discriminatory or promoting hatred based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics
  • Spam, phishing, or fraudulent
  • Infringing on intellectual property rights
  • Otherwise offensive, inappropriate, or in violation of applicable laws

Content Filtering. We employ content filtering measures to detect and prevent objectionable content from being shared through the Service. This includes automated filtering of messages and profile content. Users will be warned if their content appears to violate our policies.

Reporting Content. If you encounter objectionable content or abusive behavior from another user, you can report it directly through the app. To report content:

  • Long-press on a message to report it
  • Visit a member's profile and tap "Report Member"
  • Contact us at support@mygroucho.club

Blocking Users. You have the ability to block any user whose behavior you find objectionable. When you block a user:

  • Their messages will be immediately hidden from your view
  • They will be removed from your member list
  • Our team will be automatically notified to review the blocked user's account
  • The blocked user will not be notified that you blocked them

24-Hour Review Commitment. Our moderation team reviews all reports of objectionable content and abusive users within 24 hours. We take appropriate action, which may include:

  • Warning the reported user
  • Removing objectionable content
  • Temporarily suspending the reported user's account
  • Permanently terminating the reported user's account

Consequences for Violations. Users who violate this User-Generated Content Policy will face consequences up to and including permanent account termination. False reports made in bad faith may also result in action against the reporting user's account.

8. Club Placement and Events

8.1 Matching Process

We use your interview and profile data to match you with compatible club members. While we strive to create excellent matches, we cannot guarantee compatibility with every club member.

8.2 No Guarantee of Placement

Club formation is not guaranteed. Placement in a Groucho Club depends on sufficient interest from other users in your geographical area. If there are not enough compatible applicants in your region to form a club, placement may not be possible. In such cases, you will not be charged. You only pay once you are successfully matched and placed in an active club.

8.3 Club Size

Groucho Clubs typically consist of 4-8 members. Club composition may change as members join or leave.

8.4 Wait Times

After completing your interview, you may need to wait for placement in a club. Wait times vary based on your location and the availability of compatible members. We cannot guarantee specific placement timeframes.

8.5 Events

We coordinate regular gatherings for your club. Attendance is encouraged but not mandatory. However, consistent non-attendance may affect your club standing.

9. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by Trampoline LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

The Groucho name, logo, and associated branding are trademarks of Trampoline LLC. You may not use these marks without our prior written consent.

10. Termination

10.1 Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion through the app or by contacting support.

10.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in prohibited conduct
  • Fail to pay subscription fees
  • Create a negative experience for other members

We may also terminate the Service or your access to it at any time for any reason with reasonable notice.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or legitimate business purposes.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any defects will be corrected
  • You will be satisfied with your club placement or fellow members

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUCHO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

We are not responsible for the actions, content, or conduct of other members, either online or offline. You interact with other members at your own risk.

13. Indemnification

You agree to indemnify and hold harmless Trampoline LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@mygroucho.club to attempt to resolve the matter informally.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14.3 Arbitration

Any disputes arising under these Terms that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Groucho regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations without restriction.

15.5 Modifications

We may modify these Terms at any time. Material changes will be communicated through the app or via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
